1. Agreement
These Terms of Service (“Terms”) govern your use of https://tool.koumen.net (the “Service”), operated by Koumen Tools (“we”, “us”). By using the Service you agree to these Terms. If you do not agree, do not use the Service.
2. What the Service is
Koumen Tools provides browser-based utilities: calculators, converters, generators, and formatting tools. Most tools are free to use. Some tools and features require a paid licence (“Pro”). Tools run in your browser wherever possible; the Service is provided as-is and may change, gain, or lose features over time.
3. Licences for paid products
When you buy a Pro licence, we grant you a personal, non-exclusive, non-transferable, revocable licence to use the paid features for your own personal or internal business use, on up to three devices that you own or control.
You may not: resell, sublicense, rent, or redistribute licence keys; publish or share a key publicly; use the Service to build a competing product by copying our code or content; or remove proprietary notices. A licence is a permission to use the Service — it is not a sale of the software or of any intellectual property.
4. Acceptable use
You agree not to:
- use the Service for anything unlawful, or in violation of applicable export or sanctions laws;
- attempt to gain unauthorised access to our systems, or probe, scan, or test their vulnerability;
- scrape, crawl, or bulk-download the Service in a way that degrades performance for others;
- upload content that infringes someone else’s rights, or that contains malware;
- circumvent licence checks, or share a licence key in a way that lets others bypass payment.
We may suspend or terminate access if we reasonably believe you have breached these rules.
5. Payments, taxes, and Merchant of Record
Our order process is conducted by our online reseller Creem (creem.io). Creem is the Merchant of Record for all orders, which means Creem is responsible for the transaction itself: it processes your payment, calculates and remits applicable sales tax or VAT, issues the invoice or receipt, and handles refunds.
Prices are shown in US dollars unless stated otherwise. We may change prices at any time; changes do not affect orders already placed. If a subscription is offered, it renews automatically at the interval stated at checkout until you cancel — you can cancel at any time from the link in your receipt or by contacting us.
6. Refunds
Refunds are governed by our Refund Policy, which forms part of these Terms. In short: you may request a refund within 14 days of purchase.
7. Intellectual property
The Service, including its code, design, text, and tool logic, is owned by us or our licensors and is protected by copyright and other laws. You keep all rights to the content you paste into our tools; we claim no ownership over it, and in most cases it never leaves your device.
8. Third-party links and affiliate links
Some pages contain links to third-party websites, including affiliate links. We are not responsible for the content or practices of those sites. See our Affiliate Disclosure.
9. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any calculation is free of mistakes.
Our tools are for general information only and are not professional advice. Financial, tax, health, and legal calculators produce estimates based on the inputs and assumptions shown. They are not a substitute for advice from a qualified professional in your jurisdiction. Always verify important numbers before relying on them.
10. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve months before the claim arose.
Nothing in these Terms limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.
11. Indemnity
You agree to indemnify us against claims and costs arising from your breach of these Terms or your misuse of the Service.
12. Changes and termination
We may modify, suspend, or discontinue any part of the Service, and may update these Terms. Material changes will be reflected in the date below. If we discontinue a paid feature, we will offer a pro-rated refund for the unused period. You may stop using the Service at any time.
13. Governing law
These Terms are governed by the laws of the People’s Republic of China, excluding its conflict-of-law rules. Disputes will be brought before the competent court at our place of business, without prejudice to any mandatory consumer protection rights you have where you live.
